هدف الدراسة: تهدف الدراسة إلى التعريف بسوق الأوراق المالية السعودي وتطوره التاريخي، والتعريف بالمشتقات المالية وأنواعها، والتركيز على بيان مفهوم العقود المستقبلية وخصائصها وأنواعها، وتكييفها الشرعي والقانوني، وبيان الآثار القانونية الناتجة عن التعامل بها، والاختصاص القضائي للفصل في منازعات الأوراق المالية في سوق الأوراق المالية السعودي.
محتوى الدراسة: تحتوي الدراسة على فصل تمهيدي بابين، وقد تناول الباحث في الفصل التمهيدي التعريف بمصطلحات الدراسة، ببيان مفهوم أسواق الأوراق المالية، وأنواع الأوراق المالية، ومفهوم المشتقات المالية وأنواعها؛ وفي الباب الأول: مفهوم وأركان وخصائص العقود المستقبلية، وتكييفها الشرعي والقانوني، وفي الباب الثاني: حقوق والتزامات المتعاملين بالعقود المستقبلية وطرق انقضائها، والمسؤولية العقدية للمتعاملين بها وحالات الإعفاء منها، والاختصاص القضائي لمنازعات الأوراق المالية، بالإضافة إلى خاتمة الدراسة والتي ذكر فيها الباحث أهم النتائج والتوصيات.
أهم النتائج:
1) أن العقد المستقبلي بصورته المجردة هو: عقد وعد بالتعاقد ملزم لجانبين باعتباره عقد ابتدائي؛ أي أنه: اتفاق بين طرفين على بيع سلعه معينة أو أوراق مالية أو مؤشرات مالية بكمية محددة وثمن محدد، يتراخى فيها إبرام العقد النهائي لتاريخ مستقبلي. يتم التعامل بها لسببين: وهما التحوط والمضاربة.
2) أن العقود المستقبلية تمتاز بجملة من الخصائص ومن أهمها: أنها عقود نموذجية موحدة الشروط والأحكام، وعقود معاوضة يحصل فيها المتعاقد على عوض عما يقدمه الطرف الآخر، وأنها عقود ملزمة لجانبين وهما أطراف العقد البائع والمشتري، وأنها عقود زمنية لأن الزمن فيها عنصراً جوهرياً لا عارضاً
Abstract: This dissertation explores the legal framework governing futures contracts within the context of the Saudi capital market. The study aims to provide a comprehensive understanding of the structure and historical development of the Saudi capital market, as well as to introduce financial derivatives and their various types. Special emphasis is placed on defining futures contracts, identifying their key characteristics and classifications, analyzing their legal and Shariah characterizations, and examining the legal implications arising from their use. Furthermore, the research addresses the jurisdictional authority over disputes related to securities within the Saudi capital market.
The dissertation is structured into a preliminary chapter and two main parts. The preliminary chapter provides definitions of key terms relevant to the study, including capital markets, types of securities, and financial derivatives.
Part One addresses the definition, essential elements, and legal features of futures contracts, along with their classification under both Shariah and civil law.
Part Two discusses the rights and obligations of parties engaged in futures contracts, the mechanisms of contract termination, the contractual liabilities incurred, circumstances under which liability may be waived, and the judicial authorities competent to hear disputes arising in the context of securities transactions.
Key Findings:
1. A futures contract, in its general form, constitutes a bilateral binding promise to contract at a future date. It is a preliminary agreement whereby two parties agree to trade a specified quantity of a commodity, security, or financial index at a predetermined price, with execution deferred to a later date. Such contracts are utilized for hedging purposes and speculative investment.
2. Futures contracts exhibit several distinct characteristics. Notably, they are standardized agreements with uniform terms and conditions; they are reciprocal, obligating both parties to deliver consideration; and they are time-bound instruments in which the temporal element is essential, not incidental.
